The company is pursuing a previously announced merger with Churchill Capital Corp XI, a special purpose acquisition company listed on Nasdaq.
Churchill has scheduled a shareholder meeting for November 2, when investors will vote on the proposed business combination.
If approved and completed, the combined company will operate as Agility Robotics and is expected to trade on Nasdaq under the ticker AGLT.
The transaction values Agility at approximately $2.5 billion before the merger and is expected to provide more than $620 million in gross proceeds. This includes approximately $424 million held in Churchill’s trust account, assuming no shareholder redemptions, and approximately $200 million in additional investment led by Foxconn.
Agility intends to use the proceeds to expand commercial deployments, fulfill existing customer orders and increase production of its Digit humanoid robots.
The company introduced Digit 5 in September, featuring improvements to payload capacity, battery performance and safety systems designed for operation alongside human workers.
According to Agility, the next-generation humanoid has more than $300 million in committed orders, subject to contractual milestones and product requirements.
Earlier generations of Digit have accumulated more than 65,000 hours of real-world operation across industrial and logistics environments.
Agility has commercial relationships with companies including GXO, Schaeffler and Toyota Motor Manufacturing Canada.
Its RoboFab manufacturing facility in Oregon is designed to support annual production of up to 10,000 humanoid robots, although current output remains below that capacity.
The company expects the proposed merger to close in November 2026.
