Under the agreement, FFR will acquire Faraday Future’s robotics assets, intellectual property, contracts and related operations. The companies expect to complete the transaction by the end of October, subject to closing conditions.
The deal values FFR at approximately $60 million on a fully diluted basis before the combination. FFR will issue shares to Faraday Future at $2.246 per share.
Following completion, Faraday Future is expected to retain approximately 65.7% ownership of FFR, while management and employees will hold approximately 18.2%. FFR has also secured up to $10 million in private investment financing.
The transaction will establish Faraday Future’s robotics operations within a separately traded public company focused on humanoid robots, quadrupeds and related Physical AI technologies.
Faraday Future entered the robotics market earlier this year, introducing several humanoid and quadruped configurations for commercial, educational and industrial applications.
The company previously reported cumulative sales and shipments of 817 robotic devices through September 2026, with cumulative robotics revenue of approximately $1.52 million.
According to management projections, the business could generate approximately $7 million in revenue during 2026 and $45 million in 2027. These forecasts remain unaudited and have not been adopted as formal guidance by FFR.
The company also plans to expand its US robotics operations through manufacturing, research and commercial partnerships.
